End User Licence Agreement
Effective Date: 02/09/2026
This End User Licence Agreement (“Agreement”) governs your access to and use of LIAMS (“LIAMS”, the “Software”, or the “Service”), including any integrations provided through LIAMS, such as the integration with QuickBooks Online.
LIAMS is provided by Healthcare Logistics Ltd (HLL), having its registered address at 90, Mayflower Court, Triq San Alwigi, Msida Malta. (“we”, “us”, or “our”).
By accessing or using LIAMS, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Service.
1. Licence to Use LIAMS
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable and revocable licence to access and use LIAMS for your organisation’s legitimate business purposes.
This licence does not transfer ownership of LIAMS or any intellectual property rights to you.
You may not:
- copy, modify, reproduce or distribute LIAMS except where expressly permitted;
- reverse engineer, decompile or attempt to extract the source code of LIAMS, except where applicable law expressly permits this;
- resell, sublicense or commercially exploit LIAMS without our written permission;
- attempt to gain unauthorised access to LIAMS or its underlying systems;
- use LIAMS for unlawful, fraudulent or malicious purposes; or
- interfere with the normal operation, security or availability of the Service.
2. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.
You must ensure that information supplied to LIAMS is accurate and kept reasonably up to date.
Where an organisation allows multiple users to access LIAMS, the organisation is responsible for ensuring that those users are authorised to access the organisation’s information and connected services.
You must notify us as soon as reasonably possible if you become aware of unauthorised access to your account.
3. QuickBooks Integration
LIAMS may allow you to connect your account to QuickBooks Online, a service provided by Intuit Inc. and/or its affiliates (“Intuit”).
Connecting QuickBooks to LIAMS is optional and requires you to authorise LIAMS through the QuickBooks authorisation process.
When you connect a QuickBooks account, you authorise LIAMS to access, retrieve, process and, where applicable, transmit QuickBooks information that is necessary to provide the features you choose to use. This may include information relating to customers, invoices, payments and associated accounting records.
LIAMS will only access QuickBooks data within the permissions authorised by you and as necessary to provide the relevant integration functionality.
You are responsible for ensuring that:
- you have authority to connect the relevant QuickBooks company to LIAMS;
- you are authorised to allow LIAMS to access the information contained within that QuickBooks account;
- accounting information submitted or transferred through LIAMS is accurate; and
- you review information transferred between LIAMS and QuickBooks where appropriate before relying upon it.
You may disconnect your QuickBooks integration at any time through LIAMS, QuickBooks, or the relevant Intuit account settings where such functionality is available.
Disconnecting QuickBooks may prevent QuickBooks-related functionality within LIAMS from operating.
4. Third-Party Services
LIAMS may integrate with third-party products and services.
Your use of a third-party service remains subject to the terms and policies of that third party. We do not control and are not responsible for the availability, operation or modification of third-party services.
Changes made by a third-party provider may affect the availability or operation of an integration within LIAMS.
QuickBooks and Intuit are trademarks and services of Intuit Inc. LIAMS is an independent service and is not owned or operated by Intuit unless expressly stated otherwise.
5. Your Data
You retain ownership of the business information and other data that you or your authorised users provide to LIAMS (“Your Data”).
You grant us permission to process Your Data to the extent reasonably necessary to:
- operate and provide LIAMS;
- provide integrations requested by you;
- maintain security and prevent abuse;

6. Data Obtained Through QuickBooks
Information obtained from QuickBooks through the Intuit APIs will only be used in connection with providing and supporting the LIAMS functionality authorised by you and in accordance with applicable requirements governing the QuickBooks integration.
We will take reasonable technical and organisational measures designed to protect information obtained through the QuickBooks integration against unauthorised access, disclosure, alteration or destruction.
We will not claim ownership of data obtained from your QuickBooks account.
7. Intellectual Property
LIAMS, including its software, design, interfaces, databases, documentation, branding and other intellectual property, is owned by or licensed to Healthcare Logistics Ltd (HLL).
Except for the limited licence expressly granted under this Agreement, no intellectual property rights are transferred to you.
Third-party trademarks, including QuickBooks and Intuit, remain the property of their respective owners.
8. Availability and Changes
We aim to provide LIAMS on a reliable basis, but we do not guarantee that the Service will always be available, uninterrupted or error-free.
We may modify, update, replace or discontinue individual features where reasonably necessary for technical, operational, security, legal or commercial reasons.
We may temporarily suspend access where necessary for maintenance, security or to protect LIAMS or its users.
9. User Responsibilities
You are responsible for how your organisation uses LIAMS and for ensuring that such use complies with applicable laws and regulations.
LIAMS may assist with the management, transfer or presentation of business and accounting information, but you remain responsible for reviewing and verifying that information.
LIAMS does not provide accounting, tax or legal advice. You should obtain professional advice where appropriate.
10. Fees and Subscriptions
Where LIAMS is provided as a paid service, applicable subscription fees, billing periods and other commercial terms will be communicated to you before purchase or will be governed by a separate agreement between you and us.
Failure to pay applicable charges may result in suspension or termination of access to paid functionality.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, LIAMS is provided on an “as available” basis.
While we take reasonable measures to provide a secure and reliable service, we do not warrant that LIAMS will be completely free from errors, interruptions, vulnerabilities or third-party service failures.
Nothing in this Agreement excludes any warranty or right which cannot lawfully be excluded.
12. Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, consequential or special losses arising from the use of LIAMS, including loss of profits, revenue, business opportunity or anticipated savings.
We will not be responsible for losses caused solely by:
- inaccurate information supplied by you or your users;
- unauthorised use of your account;
- failures or changes to third-party services outside our reasonable control;
- your failure to review information transferred through an integration; or
- use of LIAMS contrary to this Agreement.
Nothing in this Agreement limits or excludes liability where such limitation or exclusion is prohibited by law.
13. Suspension and Termination
You may stop using LIAMS at any time.
We may suspend or terminate your access where you materially breach this Agreement, misuse the Service, fail to pay applicable charges, create a material security risk, or where suspension or termination is otherwise reasonably necessary to comply with law or protect the Service and its users.
Following termination, your right to use LIAMS will cease.
Treatment and retention of Your Data following termination will be governed by our Privacy Policy, applicable contractual arrangements and applicable law.
14. Changes to this Agreement
We may update this Agreement from time to time to reflect changes to LIAMS, third-party integrations, legal requirements or our business practices.
The latest version will be made available through our website together with its effective date.
Where changes materially affect your rights or obligations, we will take reasonable steps to provide appropriate notice.
